Terms of Service

These Terms of Use ("Terms") govern your access to and use of the Docuwise website, applications, document generation tools, templates, content, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

Docuwise is a self-service document automation and information platform. Unless expressly stated otherwise, Docuwise is not a law firm, is not a legal practice, and does not provide legal advice, legal representation, or other regulated legal services.

2. No legal advice; no lawyer-client relationship

The Service provides general information, self-help workflows, document templates, and automated document generation tools. The Service does not provide legal advice, legal opinion, or recommendations tailored to your specific legal situation.

Your use of the Service does not create any lawyer-client, attorney-client, fiduciary, advisory, or similar professional relationship between you and Docuwise.

Any content, template, explanation, example, question flow, help text, or generated document made available through the Service is provided for general informational and self-service drafting purposes only.

We do not review any information you provide for legal accuracy or sufficiency, draw legal conclusions for you, provide opinions about your legal rights or remedies, or apply the law to the facts of your situation.

If you need legal advice, legal review, legal representation, or a legal assessment of enforceability, compliance, risk, or suitability, you should consult a qualified lawyer licensed in the relevant jurisdiction.

3. No privilege or protected legal communications

Because Docuwise is not acting as your lawyer, communications with Docuwise through the Service are not protected by attorney-client privilege, legal professional privilege, work product doctrine, or similar protections that may apply to communications with licensed legal counsel.

You should not use the Service as a substitute for obtaining privileged legal advice from a qualified lawyer.

4. Eligibility and authority

By using the Service, you represent and warrant that:

  • you are legally capable of entering into these Terms;
  • you are at least the age of majority in your place of residence;
  • the information you provide is accurate to the best of your knowledge;
  • if you use the Service on behalf of an organization or another person, you have authority to do so;
  • your use of the Service complies with applicable law.

5. Nature of the Service

Docuwise helps users generate document drafts based on information supplied by the user and maintained templates or workflows.

You acknowledge and agree that:

  • generated documents are drafts and starting points only;
  • laws and practices vary across jurisdictions and change over time;
  • document suitability depends on your facts, goals, jurisdiction, language, and use case;
  • Docuwise does not guarantee that any generated document will be complete, accurate, current, legally valid, enforceable, accepted by any authority or third party, or fit for your intended purpose.

6. User responsibility for review and use

You are solely responsible for reviewing any generated document before signing, sharing, filing, sending, relying on, or using it.

You are also solely responsible for determining whether you need:

  • legal review;
  • translation review or certified translation;
  • notarization, witnessing, apostille, stamping, or legalization;
  • registration or filing;
  • jurisdiction-specific clauses;
  • compliance with local formalities or mandatory law.

7. No guarantee of outcome

We do not guarantee any legal, regulatory, commercial, administrative, tax, immigration, contractual, or practical outcome from your use of the Service or from any generated document.

Without limitation, we do not guarantee that a document will:

  • achieve your intended result;
  • protect your interests in a dispute;
  • be accepted by a court, counterparty, employer, landlord, bank, agency, registry, or government body;
  • prevent litigation, liability, rejection, delay, or loss.

8. Account and access

You may need to create an account to access some features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must promptly notify us if you suspect unauthorized access to your account.

We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk for the Service, or used the Service unlawfully.

9. Payments and subscriptions

Certain features may require payment, subscription, or both. Pricing, billing intervals, trial terms, renewal logic, refund rules, and feature access are described on the relevant checkout, pricing, or subscription pages.

Unless otherwise required by law or expressly stated by us, payments are for access to the software service and platform functionality, not for legal advice or legal representation.

If subscriptions renew automatically, you authorize us or our payment processor to charge the applicable recurring fees until cancellation under the applicable billing rules.

10. Acceptable use

You agree not to:

  • use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
  • upload or input false information in a way that harms others or violates law;
  • use the Service to impersonate another person or misrepresent authority;
  • attempt to reverse engineer, disrupt, overload, scrape, or interfere with the Service, except as allowed by law;
  • use automated means to access the Service in a manner that imposes unreasonable load or bypasses controls;
  • use the Service to generate documents for illegal schemes, harassment, abuse, discrimination, or fraud;
  • upload malicious code, viruses, or other harmful material.

11. Intellectual property

The Service, including its software, workflows, site design, branding, content, and underlying templates, is owned by Docuwise or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms and any paid plan restrictions, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal personal or business use.

These Terms do not transfer any ownership rights to you.

12. Your inputs and generated outputs

You retain rights you may have in the factual information you submit to the Service, subject to any rights needed for us to operate the Service.

You grant us the rights reasonably necessary to host, process, format, store, transmit, and generate outputs from your submitted content for the purpose of operating, securing, maintaining, and improving the Service, in accordance with the Privacy Policy and applicable law.

You are responsible for ensuring that you have the right to provide any personal data or third-party information you submit.

13. Service availability and changes

We may modify, update, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law.

We do not guarantee uninterrupted availability, error-free operation, or continued availability of any particular feature, jurisdiction, document type, language, or output format.

14. Third-party services

The Service may integrate with or rely on third-party providers, including hosting, analytics, payment, identity, communication, storage, AI, translation, or document processing providers. We are not responsible for third-party services except to the extent required by law.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, availability, and suitability for a particular legal or business use.

Without limiting the above, we do not warrant that:

  • the Service will meet your needs;
  • the Service or generated documents will be accurate, complete, current, enforceable, or accepted by any third party;
  • defects will be corrected;
  • the Service will be secure or free from downtime, bugs, or harmful components.

16. Limitation of liability

To the maximum extent permitted by law, Docuwise and its founders, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, opportunity, or anticipated savings, arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by law, the aggregate liability of Docuwise for all claims arising out of or related to the Service will not exceed the greater of:

  • the total amount you paid to Docuwise for the Service during the three months preceding the event giving rise to the claim; or
  • one hundred U.S. dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Docuwise and its affiliates, personnel, and service providers from claims, losses, liabilities, and expenses arising out of or related to:

  • your use of the Service;
  • your violation of these Terms;
  • your violation of applicable law;
  • your infringement of third-party rights;
  • information or content you submit through the Service.

18. Termination

We may suspend or terminate your access to the Service at our discretion, including where we reasonably believe you violated these Terms, created legal exposure, created operational risk, or misused the Service.

You may stop using the Service at any time. Termination does not affect any obligations or rights that by their nature should survive termination.

19. Privacy

Your use of the Service is also governed by our Privacy Policy.

20. Changes to these Terms

We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Service after updated Terms are posted constitutes acceptance of the updated Terms, to the extent permitted by law.

21. Governing law and disputes

These Terms are governed by the laws of Hong Kong, without regard to conflict of laws principles, subject to any mandatory consumer protection laws that apply in your place of residence.

Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Hong Kong, unless applicable law requires otherwise.
